These Terms of Service govern your access to and use of CliqWave, including our mobile applications, websites, and related services (collectively, the "Services"). The Services are provided by Greek Time Corp. ("Greek Time," "CliqWave," "we," "our," or "us").

By creating an account, downloading or using the app, or otherwise accessing the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Introduction

These Terms of Service (the “Terms”) govern your access to and use of CliqWave, including our mobile applications, websites, and related services (collectively, the “Services”). The Services are provided by Greek Time Corp. (“Greek Time,” “CliqWave,” “we,” “our,” or “us”).

By creating an account, downloading or using the app, or otherwise accessing the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Privacy

Our Privacy Policy explains how we collect, use, and share information about you. By using the Services, you agree that we can process your information in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

3. Who May Use the Services

You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with consent of a parent or legal guardian, who is responsible for your use.

You may not use the Services if we have terminated or suspended your account, or if you are prohibited from receiving the Services under applicable law.

4. Accounts and Security

You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account.

Notify us promptly if you believe your account has been compromised.

5. Organizations, Chapters, and Administrators

CliqWave is designed for groups such as fraternities, sororities, campus organizations, clubs, and similar communities (“Organizations”). Organizations may have administrators (“Admins”) who can manage membership, events, attendance, points, content visibility, and other settings within their Organization spaces.

If you are an Admin, you represent and warrant that you have the authority to bind the Organization and its members to these Terms with respect to the Organization’s use of the Services, and you agree to ensure your Organization’s compliance with these Terms and all applicable laws, rules, and policies (including university and national organization policies).

We are not a party to disputes between you and your Organization, or between members of an Organization. Organizations and their members are responsible for their own conduct and decisions.

6. Your Content and Permissions You Grant

The Services allow you and other users to create, post, upload, store, send, and receive content, including messages, images, videos, files, locations, event details, attendance data, and other materials (“User Content”). You retain ownership of your User Content as between you and CliqWave.

You grant CliqWave a worldwide, non-exclusive, royalty-free, transferable license (with the right to sublicense) to host, store, cache, reproduce, modify (for formatting and display), transmit, distribute, and display your User Content solely to operate, provide, improve, and secure the Services, and as otherwise permitted by your settings and these Terms.

You represent and warrant that you have all rights necessary to grant this license and that your User Content and use of the Services do not violate any law or the rights of any third party.

7. Acceptable Use

You agree not to misuse the Services. For example, you will not: (a) violate any law; (b) infringe, violate, or misappropriate the rights of others; (c) post or share unlawful, harmful, threatening, harassing, defamatory, obscene, or hateful content; (d) exploit or harm minors; (e) attempt to gain unauthorized access to the Services or other users’ accounts; (f) interfere with or disrupt the Services; (g) use the Services to send spam or unsolicited promotions; (h) reverse engineer or attempt to extract source code except as permitted by law; or (i) use automated means to access the Services except through our documented interfaces.

We may remove or restrict access to User Content and may suspend or terminate accounts that violate these Terms.

8. Moderation, Safety, and Reporting

We may (but are not obligated to) monitor, review, or moderate User Content. We may use automated systems and human review to detect and address spam, abuse, and policy violations.

If you encounter content or behavior that violates these Terms or is unsafe, you should report it through the app (if available) or by emailing [email protected].

9. Events, Attendance, Points, and Location Features

The Services may enable event planning, reminders, check-ins, attendance tracking, and point systems. These features are provided for convenience and organizational coordination only.

Points are virtual and have no cash value, are not redeemable for money, and may be modified, reset, or removed at any time. Any rewards or benefits offered by an Organization are solely the responsibility of that Organization.

If you enable location features, you consent to our collection and use of location data as described in our Privacy Policy and your settings. Location-based features may be inaccurate or unavailable, and you are responsible for verifying event details and check-in requirements with your Organization.

10. Messaging and Communications

You may be able to send messages and share content with others. Do not use the Services for emergency communications. We do not guarantee delivery, timeliness, or permanence of messages or files.

You consent to receive service-related communications from us, including via email, push notifications, or in-app messages. You can adjust notification preferences in the app where available.

11. Subscriptions, Fees, and Payments

Some features may require payment now or in the future. If you purchase a subscription or other paid feature, you agree to pay the disclosed fees and applicable taxes.

Payments may be processed by third-party payment providers (for example, Apple, Google, or Stripe). Your transactions may also be subject to those providers’ terms.

Unless otherwise stated, subscriptions renew automatically until canceled. Cancellation takes effect at the end of the current billing period. Fees are non-refundable except where required by law or where a specific refund policy is provided.

12. Third-Party Services and Links

The Services may integrate with or link to third-party services (for example, maps, calendars, analytics, or social platforms). We do not control third-party services and are not responsible for their content, policies, or practices.

Your use of third-party services is at your own risk and subject to the third party’s terms and privacy policies.

13. Intellectual Property

The Services, including software, design, text, graphics, logos, and other content provided by CliqWave, are owned by Greek Time or its licensors and are protected by intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal Organization purposes.

14. Copyright Complaints

If you believe content on the Services infringes your copyright, you may submit a notice to [email protected] with sufficient information to locate the content and to identify the work claimed to be infringed. We may remove content and terminate repeat infringers where appropriate.

15. Feedback

If you provide suggestions, ideas, or feedback, you grant us the right to use it without restriction or compensation.

16. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, created risk or potential legal exposure for us or others, or if required by law.

Upon termination, your right to access the Services will cease. Certain provisions of these Terms will survive termination, including intellectual property, disclaimers, limitations of liability, indemnity, and dispute resolution.

17. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE DO NOT GUARANTEE THE ACCURACY OF ORGANIZATION DATA, EVENT DETAILS, ATTENDANCE RESULTS, LOCATION FEATURES, OR USER CONTENT.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIQWAVE AND GREEK TIME WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

19. Indemnity

You will indemnify and hold harmless Greek Time, CliqWave, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Services, (b) your User Content, or (c) your violation of these Terms or applicable law.

20. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles, except to the extent prohibited by applicable law.

Any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Wyoming, and you consent to their jurisdiction and venue.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms on our website or in the app). Your continued use of the Services after the effective date of the updated Terms constitutes acceptance.

23. App Store Terms (Apple/Google)

If you download the app from Apple’s App Store or Google Play, you acknowledge that these Terms are between you and Greek Time, not Apple or Google. Apple and Google are not responsible for the Services or their content. Additional terms may apply as required by the applicable app store.
